Vendor Terms & Conditions
The following terms and conditions apply to your use of our website.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms then you may not access the Service.
Listing of Patterns:
The Seller agrees to list their sewing patterns on the marketplace and to provide accurate and detailed descriptions of each pattern. In order to create/update the listing, the Seller shall submit the create/update request to seller@sewingpartner.com. The Seller should provide:
- sewing pattern in A0, A4, and US letter formats (in pdf format)
- comprehensive sewing instructions in English (in pdf format)
- professional photos of the garment
- size chart
- fabric requirements
Fees:
The Seller agrees to pay a commission to the marketplace for each pattern sold on the marketplace and other fees defined by Sewing Partner. Please note that all fees are listed as exclusive of any value-added tax (VAT) or similar taxes that may apply. All service fees, including prepaid fees, are non-refundable. Sellers are required to pay the following types of fees:
Early Bird subscription plan:
- Marketplace fee. When you make a sale through the Sewing Partner marketplace, you will be charged a transaction fee of 10% of the price you display for each listing. This fee amount is valid for a period of 12 months since the Terms are accepted.
- Transaction fee. When you make a sale through the Sewing Partner marketplace, you will be charged a transaction fee of 4,4% + $0.3. This fee goes to the provider for handling online payments.
Sales report and paying your Sewing Partner fees:
The Seller can track every transaction in their user account. Sewing Partner will automatically deduct all the fees owed from the Seller payment account. Within 15 days of the current month, Sewing Partner will send a sales report indicating all the sale transactions and commissions applied for the past month to the email address provided by the Seller. Funds will be transferred to the Seller's bank account/Pay Pal account within 5 days after sending the sales report.
Marketing activities:
The marketplace may initiate various marketing activities on a temporary or permanent basis to boost sales for the entire product catalog, a particular category, or seller, such as but not limited to promo codes, discounts, “buy one, get one free”, and other marketing activities. We will inform the sellers about such activities, their durations, conditions, and other terms. The marketplace will not run any marketing activities without obtaining the Seller’s permission.
Intellectual Property:
The Seller confirms and warrants that they own or have the necessary rights to sell the sewing patterns they list on the marketplace, and that the sale and use of these patterns will not infringe on the intellectual property rights of any third party.
Refunds and Returns:
The Sewing Partner marketplace is intended for selling digital products, therefore will not offer refunds. However, in some cases, we may offer a courtesy refund if we see a solid reason to do so. We will strive to offer a customer a credit they can use for their next purchase. In case the money refund should be issued, the marketplace will refund the Marketplace fee. The rest of the amount plus the transaction fee should be covered by the Seller. We will reflect the refund in the Seller’s monthly sales report.
Termination:
Either party may terminate this agreement for convenience by giving a 14-day written notice. Immediate termination may apply if either party:
- commits a breach of this Agreement that was not rectified in a timely manner;
- repeatedly breaches this Agreement in such a manner that it becomes inconvenient for parties to conduct business.
Representations and Warranties:
The Seller represents and warrants that all information provided to Sewing Partner is accurate, complete, and not misleading, and that they will comply with all the applicable laws and regulations.
Indemnification:
The Seller agrees to indemnify and hold the marketplace harmless from any claims, damages, or expenses arising from the sale of their patterns on the marketplace.
Governing Law:
The Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation, shall be governed by, and construed in accordance with, the laws of the United States, where applicable, and otherwise by the laws of the State of Florida.
Service level agreement:
the Seller commits to provide comments/answers to Sewing Partner/customer questions in a timely manner. We will expect to get a reply within 1–2 business days.
Amendments:
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Changes will be effective upon the posting of the changes unless otherwise specified. The Seller is responsible for becoming familiar with any changes. Seller’s use of the Services following the changes constitutes acceptance of the updated Terms.
It is important for both Sewing Partner and the Seller to carefully review and understand the terms and conditions of the Agreement before entering into it.
